Terms and Conditions for My Guava Customer to Business Referral Program

Guavapay Limited (“Guavapay”, “we”) is a company registered in England with company number 10601900 with its registered address at Monument Place, 24 Monument Street, London EC3R 8AJ, United Kingdom. Guavapay Limited is registered with the Financial Conduct Authority in the United Kingdom as a Small Electronic Money Institution with reference number 900888. Guavapay Limited’s ICO registration number is ZA274504. For the purposes of this Program, “Participant” or “you” shall refer to individuals who have fulfilled the requirements set forth in sections 1 and 2 of the Program.

 

Thank you for participating in the MyGuava Business to Business Referral Program (the “Program”). By participating in this Program, you agree to the following terms and conditions:

 

1.                  Eligibility

 

1.1.             Participants must be residents of the United Kingdom and at least 18 years old and have the authority to, and act on behalf of a business registered in England and Wales.

 

1.2.            The Invitee must be located in the UK.

 

1.3.            The Program is open only to new users of the MyGuava Business who have not previously used MyGuava Business services.

 

1.4.            The Program is a one-time offer per Participant. Each participant is only eligible to receive the benefit once.

 

1.5.            The following individuals are not eligible to enter the Program:

 

-          employees or consultants of Guavapay or its affiliates;

-          anyone entering on behalf of another person.

 

1.6.            If you do not meet these Terms and Conditions or cease to meet them before the Promotional Period ends, your entry will be automatically disqualified.

 

2.                  Entry Requirements

 

2.1.            The Program is open only to new users of the MyGuava Business app who have not previously used any Guavapay Business services (hereafter an “Invitee”) and who are invited to MyGuava Business by existing verified MyGuava account holders (hereafter an “Inviter”) via a unique invitation link.

 

2.2.            To participate in the Program, the Invitee that has been referred must register, onboard and open a MyGuava Business Account and complete at least one of the tasks provided below. Different rewards apply for each task:

 

a.   Top up the newly opened MyGuava Business account with no less than £1000.

b.   Order a corporate card and make 5 Eligible Transactions with the MyGuava Business card, totaling no less than £300 in transactions.

c.   Make the first 5 incoming and 5 outgoing Eligible Transactions (excluding card transactions) to different accounts, totaling at least £2000.

d.   The Invitee shall set up an E-commerce gateway integration and make ten (10) transactions. Each transaction needs to be processed through a unique payment card that is not owned, registered, or financially linked to the Inviter. The total amount shall be no less than £1000.

e.   Complete a Foreign Exchange (FX) transaction for an amount equivalent to £1000 or more.

 

2.3.            In addition to the requirements provided in these Terms and Conditions, the Inviter must:

 

a.   Have an active MyGuava account to be eligible for any referral reward.

b.   Share the unique invitation link with the Invitee, which will be generated within the MyGuava Business app.

c.   Failure to do so may result in delays or forfeiture of the rewards.

 

2.4.            The use of the personalized link is essential for tracking and validating the referral process, as it proves that the Invitee was referred by the Inviter. When the Invitee applies via the personalized link, we will be able to verify that such business was referred to by the Inviter. 

 

2.5.            Only transactions fully completed within the Program period qualify for the reward. Pending or disputed transactions that are not finalized within the Promotional period will not count.

 

3.                  Reward

 

3.1.            The following actions and corresponding rewards apply to the Inviter:

 

a.       Account Top-Up: The Invitee topped up the MyGuava business account with £1000.

Reward: £50.00

b.      Corporate Card Usage: The Invitee ordered a corporate card and made 5 payments with the card totaling no less than £300 in Eligible Transactions.

Reward: £9.00

c.      Transactions: The Invitee made the first 5 incoming and 5 outgoing Eligible Transactions (excluding card transactions) to different accounts for a total amount of £2000.

Reward: £10.00

d.      E-Commerce Setup: The Invitee shall set up an E-commerce gateway integration and make ten (10) transactions. Each transaction needs to be processed through a unique payment card that is not owned, registered, or financially linked to the Invitee. The total amount shall be no less than £1000.

Reward: £16.00

e.      Foreign Exchange (FX) Transaction: The Invitee exchanged FX for an amount equivalent to £1000.

Reward: £5.00

 

Maximum Payout for the Inviter: £90.00

 

3.2.      The following actions and corresponding rewards apply to the Invitee:

 

a.       Account Top-Up: The Invitee topped up the business account with £1000.

Reward: £10.00

b.      Corporate Card Usage: The Invitee ordered a corporate card and made 5 Eligible Transactions with the card, totaling no less than £300.

Reward: £30.00

c.       Transactions: The Invitee made the first 5 incoming and 5 outgoing Eligible
Transactions (excluding card transactions) to different accounts for a total amount of £2000.

Reward: £30.00

d.      E-Commerce Setup: The Invitee shall receive ten (10) payments from E-commerce, and each payment needs to be processed through a unique payment card that is not owned, registered, or financially linked to the Invitee. The total transaction amount shall be no less than £1000.

Reward: £80.00

e.       Foreign Exchange (FX) Transaction: The Invitee exchanged FX for an amount equivalent to £1000.

Reward: £25.00

 

Maximum Payout for the Invitee: £175.00

 

3.3.            The reward is only available to Inviters and Invitees who meet all eligibility and entry requirements.

 

3.4.            A one-time reward payment of £50 will be issued immediately to both the Inviter and Invitee upon satisfaction of the conditions specified in section 2.2.a of this Program.

 

3.5.            The Inviter shall receive their designated reward credited to their respective MyGuava account after the Invitee has completed one or more of the specific requirements enumerated in Sections 2 of these Terms and Conditions

 

3.6.            The Invitee shall receive their designated reward credited directly to their respective active MyGuava Business account after completing one or more of the specific requirements enumerated in Sections 2 of these Terms and Conditions.

 

3.7.            To qualify for a reward, the Invitee must fully satisfy at least one of the conditions set out in 2.2. Partial completion of any condition shall not be deemed sufficient.

 

3.8.            All account eligibility criteria must be met and remain satisfied for the time of the Program, for the reward to be distributed.

 

3.9.            For clarity, both parties must maintain valid, open, and compliant MyGuava Account and MyGuava Business account in good standing to receive any rewards.

 

4.                  Campaign Period

 

4.2.            The campaign begins on the date the Invitee successfully opens and completes the MyGuava Business account onboarding process and remains active for 30 calendar days from that moment.

 

4.3.            Rewards earned pursuant to this Program shall be distributed to the respective Participants no later than thirty (30) calendar days following the conclusion of the applicable campaign period.

 

4.4.            For the avoidance of doubt, the Inviter and Invitee shall not be entitled to receive any rewards prior to the expiration of the aforementioned post-campaign waiting period.

 

4.5.            Notwithstanding the above, a one-time reward payment of £50 will be issued immediately to both the Inviter and Invitee upon satisfaction of the conditions specified in section 2.2.a of this Program.

 

5.                  Limitations

 

5.2.            For the purpose of this Program, “Eligible Transactions” shall mean:

 

a.   Transactions initiated by recently approved MyGuava Business Account holders.

b.   The Invitee must ensure that the Eligible Transaction is approved at the time of payment.

c.   Only transactions with approved Merchants shall be considered Eligible Transactions.

-     Not all transfers will be considered international transfers, such as:

● Cash withdrawals, balance transfers, and fund transfers.

● Fees, charges, and interest imposed by the Bank

● Gambling, betting, and cryptocurrency-related transactions

● Purchases from the following merchant categories:

I.       Stored Value Card Purchase & Reloads (prepaid cards, gift cards)

II.      Automated Cash Disbursements/ Withdrawal (ATMs, cash advances)

III.     Bank Transactions (loan payments, credit card bill payments)

IV.     Money transfer (remittance services, peer-to-peer transfers)

V.      Non-Financial Institutions (currency exchange, money orders)

VI.     Insurance Payments (policy premiums, underwriting)

VII.    Direct Marketing – Insurance (telemarketing insurance sales)

VIII.   Parking (meters, garages, lot payments)

IX.     Real Estate (rental payments, property management)

X.      Securities Trading (stockbrokers, investment platforms)

XI.     Other Services – Not Elsewhere Classified (miscellaneous professional or business services that don’t fit common categories)

 

5.3.            The Program cannot be combined with any other promotions, offers, or discounts.

 

5.4.            The Inviter/Invitee will not be eligible for the reward if their account is frozen, terminated, or if We have reasonable grounds to believe You have violated any of these Terms & Conditions.

 

5.5.            Where either the Inviter or the Invitee has cleared their cache and/or cleared, disabled or blocked cookies, we may not be able to fully track whether the referral link was successfully used. Only Inviters and Invitees who generate or use the link while the necessary cookies are active will be considered for the purposes of the Program.

 

5.6.            Any user who provides false or misleading information during registration or the transfer process will be disqualified from the Program

 

6.                  Disqualification and Final Decision

 

6.2.            We reserve the right to disqualify any Participant who does not comply with these terms or who provides false information.

 

6.3.            Our decision is final, and no correspondence will be entered into regarding the outcome of the Program. We reserve the right to declare the Program void if we consider it unreasonable to proceed, due to an administrative error or otherwise.

 

7.                  Liability

 

7.2.            Guavapay is not liable for any technical issues or malfunctions that may affect the entry process or result in a lost or incomplete entry, including any issues associated with the unique link generated by the Inviter. We are not responsible for any entries that are lost, delayed, illegible, corrupted, damaged, incomplete, or otherwise invalid.

 

7.3.            Guavapay’s liability under or in connection with the Program or these terms and conditions shall be limited to the value of the applicable reward.

 

7.4.            The Inviter and Invitee are responsible for any tax liabilities arising from the reward

 

8.                  Additional Terms and Conditions

 

8.2.            Guavapay reserves the right to terminate or temporarily suspend this Program in the event of technical or other difficulties that might compromise its integrity, though we will endeavor to minimize the impact on participants.

 

8.3.            Guavapay reserves the right to alter the T&C, cancel or terminate the Program at any time, for any reason, without prior notice or liability. In the event of cancellation, any obligations incurred up to the date of cancellation shall remain in effect.

 

8.4.            To be eligible for a reward, you must comply with your  Account Terms or any other terms and conditions that apply to your MyGuava account as notified and updated from time to time.

 

8.5.            Guavapay reserves the right to terminate or temporarily suspend this Program in the event of technical or other difficulties that might compromise its integrity, though We will endeavor to minimise the impact on Participants.

 

8.6.            Any changes to the Program or these Terms and Conditions will be communicated through appropriate channels.

 

8.7.            If We believe that you have engaged in any fraud or material abuse of this Program, We may, at our sole discretion, take any actions we see fit.

 

8.8.            These terms and conditions are published in English. Any translation is a courtesy translation only. This means you cannot derive any rights from any translated version, and only the English version can be used in legal proceedings.

 

9.                  Data Protection

 

9.2.            Any personal data collected as part of this Program will be processed in accordance with our Privacy Policy.

 

9.3.            If you register for the Program, we will use your information in accordance with these Terms and Conditions. 10.              Governing Law

 

10.2.        These T&Cs are governed by and construed in accordance with the laws of England and Wales.
